Summary

The Jafza Companies Implementing Regulations 2016 are the company-law code for entities registered in the Jebel Ali Free Zone other than offshore companies: the single-shareholder Free Zone Establishment (FZE), the multi-shareholder Free Zone Company (FZCO), the Public Listed Company (PLC) and branches of existing companies. Jafza lists them among its current rules and regulations, and the copy published on jafza.ae records that they were issued in Dubai on 23 May 2016. Jafza's offshore vehicle is governed separately by the Jebel Ali Free Zone Offshore Companies Regulations 2023, and the operational rulebook for licences, leases, staff and fines is the Jebel Ali Free Zone Rules 2023.

The published copy of the Regulations is a scanned document; the only machine-readable text is the issue line, so this note describes the regime as Jafza's own portal states it rather than by regulation number. On formation, Jafza's company formation page sets out the five formation types: an FZE registration allows a single shareholder, which may be an individual or a company; an FZCO has from two to fifty shareholders, individuals, companies or a combination; a PLC has two or more shareholders with shares listed on a stock exchange; a branch must be 100% owned by its parent and operate under the same name; and an offshore company has at least one shareholder with no maximum. Jafza does not prescribe a minimum share capital for an FZE or FZCO, capital must be sufficient for the licensed activity in line with the Commercial Companies Law, and the portal records that before 2017 the minimums were AED 1,000,000 for an FZE and AED 500,000 per shareholder for a two-shareholder FZCO.

Formation and licensing are separate: formation fixes the legal structure and shareholding, the licence fixes the permitted activity. Every licence is valid for one year from issue and must be renewed each consecutive year, and renewal requires an active lease contract. The FZCO setup guide lists the formation documents: Jafza's application form, an environment, health and safety form, a one-page business plan, KYC and ultimate beneficial owner forms, an appointment letter for the director, manager and secretary, and passport copies valid for at least six months; corporate shareholders add notarised and attested incorporation documents, articles and board resolutions. New companies submit an economic substance report at setup under Ministerial Decision No. 100 of 2020, and Jafza publishes an e-financial statement submission guide for the annual filing of audited accounts. Jafza does not transfer mainland licences into the zone; a mainland company either forms a new Jafza entity or opens a Jafza branch with the mainland company as parent. The Regulations remain in force as issued in 2016.

Who it applies to

Free Zone Establishments, Free Zone Companies, Public Listed Companies and branches of existing companies registered in the Jebel Ali Free Zone, their shareholders, directors, managers and secretaries, and the Jafza Registrar; offshore companies are governed by the separate Offshore Companies Regulations 2023.

Key provisions

Section 'Formation type overviews' (jafza.ae company formation page)Five formation types: an FZE with a single shareholder (individual or company); an FZCO with two to fifty shareholders; a PLC with two or more shareholders and listed shares; a branch 100% owned by and named after its parent; and a separately regulated offshore company.
Section 'FAQ: What are the financial requirements' (jafza.ae)Jafza does not prescribe a minimum share capital for an FZE or FZCO; capital must be sufficient for the licensed activities, in line with the Commercial Companies Law. Before 2017 the minimums were AED 1,000,000 for an FZE and AED 500,000 per shareholder for an FZCO.
Section 'FAQ: What is the validity of a license' (jafza.ae)Every licence issued at Jafza is valid for one year from its date of issue and must be renewed each consecutive year; renewal requires an active lease contract and payment through the Jafza portal.
Section 'What documents are required to set up an FZCO company' (jafza.ae guide)Formation requires Jafza's application form, an EHS form, a one-page business plan, KYC and UBO forms, a letter appointing the director, manager and secretary, and passports valid for at least six months; corporate shareholders add attested incorporation documents and board resolutions.
Section 'FAQ: Is there a regulatory authority approval required' (jafza.ae)Jafza's regulatory body issues all licences; new companies submit an economic substance report at setup under Ministerial Decision No. 100 of 2020, and some activities need approvals from other UAE authorities.
Section 'All other documents' (jafza.ae rules and regulations page)Jafza lists the Companies Implementing Regulations 2016 among its current rules alongside the Jafza Rules 9th Edition (2023) and an e-financial statement submission guide for filing audited accounts; the published copy is signed off as issued in Dubai on 23 May 2016.

Obligations and deadlines

  • Keep share capital sufficient for the licensed activity; no fixed minimum applies to an FZE or FZCO since 2017.
  • Renew the licence every year from its issue date with an active lease in place.
  • Appoint a director, manager and secretary and file the appointment letter at formation.
  • Submit KYC and ultimate beneficial owner forms at formation and keep them current.
  • File the economic substance report at setup and audited financial statements annually through Jafza's e-submission channel.

Penalties

The scanned text of the Regulations could not be read, so the fine provisions are not reproduced here. In practice the sanctions a Jafza company meets for late renewal, unlicensed activity, employment breaches and premises violations are set in the Jebel Ali Free Zone Rules 2023, which include a late payment fee of AED 1,000 per month for an expired licence and fines of up to AED 10,000 per day for continuing non-compliance.

In practice — how Polaris handles it

We form and administer FZE and FZCO vehicles in Jebel Ali for trading and logistics clients who need a customs-bonded base at the port. The decisions we take with them at the outset follow this framework: one shareholder means an FZE, two or more means an FZCO, and a mainland group that wants a Jafza presence without a second company opens a branch, since Jafza will not transfer a mainland licence. We prepare the KYC and UBO forms, the appointment letter for the director, manager and secretary and the attested corporate documents for any corporate shareholder, and we file the economic substance report at setup. After formation our corporate secretarial team runs the annual cycle: lease renewal first, because the licence cannot be renewed without an active lease, then the licence, then the audited financial statements through Jafza's e-submission portal. Where a client wants a holding or asset-owning vehicle rather than an operating company we compare the Jafza offshore company with a RAK ICC company before recommending either.
