Amending instrument recorded in the amendment notes of the Listing and Trading of Commodities Regulations (CMA Decision No. 157/R of 2005). The CMA has consolidated its changes into that text and keeps this instrument in its archive of amending regulations.

Summary

Decision No. 35/R.M of 2019 put every activity licensed by the Securities and Commodities Authority on one periodic financial reporting timetable. Rather than standing alone, it rewrites the reporting clause in eleven of the Authority's regulations and adds one to a twelfth. Issued in Abu Dhabi on 9 October 2019 after board approval on 16 September 2019, it took effect 30 days after publication in the Official Gazette (Article 3). The CMA lists it as in force; several of the regulations it amended have since been superseded, but its text survives in those still in force, including the Listing and Trading of Commodities Regulations (Decision No. 157/R of 2005), the clearing operations regulations of 2015, the Central Clearing Party regulation of 2016 and the Central Depository regulation of 2018.

Article 1 replaces the reporting obligations in: Article 3-11 of the commodities regulations; Article 9 of the financial consultancy regulation of 2008; Article 7 of the custody regulation of 2009; Article 11 of the investment management regulation of 2014; Article 17 of the securities brokerage regulation of 2014; Article 10 of the clearing operations regulations of 2015; Article 16 of the CCP regulation of 2016; Article 8 of the promotion and introduction regulation of 2017; Article 7 of the fund administration services regulation of 2017; Article 8 of the credit rating regulation of 2018; and Article 10 of the central depository regulation of 2018. Article 2 adds clause 28 to Article 26 of the 2016 investment funds regulations.

The common core is the same in each: quarterly financial reports reviewed by the external auditor within 45 days of quarter end, an audited annual financial report within three months of year end, both signed by the authorised signatory under the memorandum, and quarterly and annual activity reports on the Authority's form, signed by the director responsible where the firm holds more than one licence. Local banks, foreign bank branches and, for commodities brokers, finance companies are excused the reviewed and audited reports. Activity-specific additions include a compliance report for custodians, monthly staff dealing reports for brokers, board minutes and reports on holders of more than 10% for clearing houses, and reports on holders of more than 5% for the central depository.

Who it applies to

All firms licensed by the Securities and Commodities Authority, now the Capital Market Authority, under the regulations it amends: commodities and securities brokers, financial consultants, custodians, investment and fund managers, promoters, fund administrators, credit rating agencies, clearing houses, central counterparties and central depositories.

Obligations and deadlines

  • File quarterly financial reports reviewed by the external auditor within 45 days of each quarter end.
  • File an audited annual financial report within three months of the financial year end.
  • File quarterly and annual activity profit and loss reports on the Authority's form.
  • Have reports signed by the authorised signatory named in the memorandum of association.
  • Where licensed for several activities, have activity reports signed by the director in charge.
  • Securities brokers: file monthly staff and affiliate dealing reports within five working days.

In practice — how Polaris handles it

Clients holding or applying for a CMA licence often underestimate how much routine reporting comes with it. This decision fixes that rhythm: an auditor review every quarter within 45 days and audited accounts within three months of year end, on top of the firm's own activity reports. Polaris is not licensed by the CMA and does not carry on regulated financial activities. For licensed clients we coordinate bookkeeping, auditor engagement and board approvals so that the figures are ready before the deadlines, keep the authorised signatory under the memorandum current, and maintain corporate, UBO and AML records alongside the regulatory filings their compliance adviser makes.
