Official registry fee tariff effective 1 January 2026 listing RAK ICC charges in AED, including IBC incorporation (3,250 for one year), IBC renewal (3,950), foundation registration (1,500) and agent onboarding and renewal (12,500 each).

Summary

The RAK ICC Fee Schedule is the registry's official tariff, stated as 'Effective 01 January 2026'. It lists every government charge in AED for incorporating, renewing, amending and closing RAK ICC companies and foundations and for the registration of agents. It is not a regulation but it is the document against which every RAK ICC invoice is checked, and its notes carry the late-renewal and strike-off rules that bite in practice.

The core lines are the International Business Company fees: incorporation at AED 3,250 for one year, AED 6,700 for two and AED 9,600 for three; renewal at AED 3,950 for one year, AED 7,250 for two and AED 10,650 for three. Special cases add a per-portfolio fee of AED 1,500 for segregated portfolio companies, AED 1,750 for additional share classes, and a differential of AED 7,000 (companies) or AED 8,500 (foundations) charged only to entities that require enhanced due diligence. Under Special Products a foundation registration and a foundation renewal each cost AED 1,500 with an annual licence of AED 750; continuation into RAK ICC costs AED 3,250 and transfer out AED 5,500.

Administrative and amendment services are itemised: a certificate of good standing AED 750, a certificate of incumbency AED 1,000, a no objection certificate per property AED 1,250, charge registration AED 1,500, share transfers AED 1,250 or AED 1,750 where corporate shareholders are involved, adding or removing a director or council member AED 750 (individual) or AED 1,050 (legal entity), a name change AED 1,500, and a switch of registered agent AED 1,500. Liquidation and voluntary strike-off each cost AED 1,500, with a certificate of dissolution at AED 850 and a late notification penalty of AED 600 per year. For registered agents, onboarding and annual renewal are AED 12,500 each, with a late renewal penalty of AED 1,100 per month.

The notes matter as much as the lines. An entity due for renewal must complete it within a one-month grace period; thereafter the renewal fee rises by 10% in the second month, 15% in the third, 25% in the fourth and 50% in the fifth. At the start of the sixth month a strike-off notice is issued, and if no written representation is made and payment is not received within six months of expiry the entity is struck off. Restoration needs the Registrar's approval, payment of all outstanding fees and penalties and a flat fee of AED 550. Fine levels are stated as level 1 AED 1,000, level 2 AED 2,000, level 3 AED 5,000, level 4 AED 10,000 and level 5 AED 20,000. Urgent processing costs AED 1,250 but is not available for incorporations, renewals, liquidations or re-domiciliations, and all fees are subject to change without prior notice.

Who it applies to

Every company and foundation registered in RAK ICC, their shareholders, directors and council members paying for registry services, and the certified registered agents who are onboarded, renewed and fined under the schedule. Fees are payable through the registered agent.

Obligations and deadlines

  • Complete registration renewal within one calendar month of expiry to avoid the graduated penalty (Notes, paragraph 5).
  • Pay the enhanced due diligence differential where the registry requires it, in addition to the standard fee (Notes, paragraph 3).
  • Registered agents must renew their registration annually at AED 12,500 or pay AED 1,100 for each month of delay (Section 8).
  • Notify liquidation or strike-off steps on time or pay the AED 600 per year late notification penalty (Section 7).

Penalties

Late renewal adds 10% to the renewal fee in the second month after expiry, 15% in the third, 25% in the fourth and 50% in the fifth; a strike-off notice issues at the start of the sixth month and the entity is struck off if the arrears are not settled within six months of expiry. Restoration costs the arrears plus AED 550. Registered agents pay AED 1,100 for each month their own renewal is late. Fines imposed under the RAK ICC regulations run from AED 1,000 (level 1) to AED 20,000 (level 5).

In practice — how Polaris handles it

Our RAK ICC quotations separate the registry fee from our own charge, so a client can see that an incorporation carries AED 3,250 of government fee for one year and a renewal AED 3,950, and can compare the two- and three-year options which cost less per year. We diarise every renewal inside the one-month grace period because the penalty curve in the notes reaches 50% by the fifth month and ends in strike-off. The schedule also prices the documents banks ask for, such as the certificate of incumbency at AED 1,000 and the certificate of good standing at AED 750, and the no objection certificate at AED 1,250 per property that a RAK ICC company needs when it buys UAE real estate. Clients whose ownership involves two or more corporate layers are warned of the complex-structure surcharges before we file.
