Non-binding VARA guidance, dated 9 April 2026, explaining the VA Issuance Rulebook rule by rule, including issuance categories, licensed distributors, whitepapers, risk disclosures and asset-referenced virtual assets, with illustrative examples and whitepaper requirements.

Summary

This is VARA's non-binding guidance on the Virtual Asset Issuance Rulebook, dated 9 April 2026. It explains the Rulebook rule by rule in 35 numbered topics and adds fictional worked examples. It does not replace the Regulations, the Rulebooks or independent legal advice.

On scope, it confirms that issuers can be natural or legal persons, and that any direct or indirect commercial element makes an issuance one made in the course of a business even if the asset is not sold for money; only issuances solely for personal or non-commercial use fall outside. It explains the categories. Category 1, currently fiat-referenced and asset-referenced virtual assets, needs a VARA licence and makes the issuer a VASP bound by the four compulsory Rulebooks. Category 2 is the residual category, with placement and distribution only through a Licensed Distributor, which is a VASP licensed for Broker-Dealer Services. Exempt VAs are limited to non-transferable assets, such as commemorative items not sold by the issuer, and redeemable closed-loop assets, such as loyalty points and discount schemes that cannot be traded. If a change to an asset would move it into another category, the issuer must meet the new category's requirements before the change takes effect.

The guidance explains that an asset-referenced virtual asset includes any token representing ownership of, or a right to income from, a real-world asset, and that real-world assets include securities under the UAE Capital Markets Authority's rules, real estate, precious metals, and contractual or intellectual property rights. It describes what a legal opinion required by VARA from such an issuer should cover, and gives examples of whitepaper clauses that breach the Rulebook, including disclaimers of liability for errors and statements that no reliance should be placed on the whitepaper. A worked example follows a Licensed Distributor through due diligence, filing with VARA and the 15 Working Day submission period, which is not VARA approval.

Who it applies to

Issuers of virtual assets in Dubai outside the DIFC, including foundations and non-profit bodies, issuers of fiat-referenced and asset-referenced tokens, Licensed Distributors and their advisers, as an explanation of how VARA applies the VA Issuance Rulebook; it binds no one by itself.

Key provisions

Part I, Nos. 1 and 2Issuers include natural and legal persons; any direct or indirect commercial element means issuance in the course of a business even without a sale for money; only solely personal or non-commercial issuance is outside.
Part I, No. 4Category 1 currently covers fiat-referenced and asset-referenced virtual assets; the issuer must be licensed before issuing, becomes a VASP and must follow the four compulsory Rulebooks.
Part I, Nos. 5 and 8Category 2 is whatever is neither Category 1 nor exempt; it needs no issuer licence, but all placement and distribution must go through a Licensed Distributor, being a VASP licensed for Broker-Dealer Services.
Part I, Nos. 6, 23 and 24Exempt VAs are limited to non-transferable assets, such as commemorative items not sold by the issuer, and redeemable closed-loop assets such as loyalty points and discount schemes that cannot be traded.
Part I, No. 7Where a planned change, such as making a non-transferable asset transferable, would move an asset into another category, the issuer must meet that category's requirements before the change takes effect.
Part I, Nos. 20 and 25Asset-referenced virtual assets include tokens giving ownership of, or income from, a real-world asset; real-world assets include securities under Capital Markets Authority rules, real estate, precious metals and contractual rights.
Part I, No. 32VARA may require an asset-referenced token issuer to provide a legal opinion from a registered lawyer, which may cover capacity and authority to issue, classification of the token and the rights it grants.
Part II, Section DA worked example shows a Licensed Distributor assessing issuer and token quality, filing due diligence reports, whitepaper and risk disclosure with VARA, and waiting out the 15 Working Day submission period.
Part II, Section FWhitepaper clauses disclaiming liability for errors or omissions, or stating that no reliance should be placed on the whitepaper, breach the Rulebook's bar on excluding liability.

In practice — how Polaris handles it

This guidance is our working reference when a client's project may involve issuing a token, from loyalty schemes and commemorative digital items to real-world-asset tokens. Its examples help us and the client's licensed advisers place the project in the right category early, and its reading of commercial element matters for foundations and non-profit structures, which are not outside the Rulebook. Where a real-world asset sits behind the token, we structure the ownership chain so that the legal title the whitepaper describes actually exists. Polaris is not licensed by VARA and does not issue or distribute virtual assets or write whitepapers.
