Cabinet resolution setting fees for certain services provided by the Securities and Commodities Authority, with administrative provisions, grievance and amendment rules and an annexed fee table.

Summary

Cabinet Resolution No. 21 of 2017 sets the government fees the Securities and Commodities Authority (now the Capital Market Authority, CMA) charges for public joint stock company (PJSC) transactions and for registering auditors of PJSCs and mutual funds, and fixes administrative penalties for late renewals and late notifications. It is the Cabinet-level fee instrument that sits beside the Authority's own technical service fee table (Decision No. 32/Chairman of 2018). The text records issue on 14 July 2017; it took effect 60 days after Official Gazette publication (Article 9; the index records 29 September 2017). It is in force without amendment.

Article 2 applies the attached fee table. For PJSCs it charges: incorporation, AED 5,000 to apply, AED 50,000 on registration and AED 10,000 a year to renew; conversion of a commercial company into a PJSC, AED 2,000 and AED 50,000; AED 30,000 each for a capital increase by rights issue or conversion of sukuk or bonds into shares, acquisition of 51% or more of a listed PJSC, a merger of listed PJSCs, and a merger of a listed PJSC with another commercial company; AED 2,000 for a certificate of amendment of the articles of association; AED 100 per certified page; and AED 500 for a to-whom-it-may-concern certificate. For audit firms it charges AED 2,000 to apply, AED 20,000 for a three-year accreditation to audit PJSCs and mutual funds, AED 10,000 per three-year renewal and AED 4,000 to re-register after removal.

Article 3 sets administrative penalties for delay beyond 30 days: AED 1,000 per month, capped at AED 10,000 a year, for late renewal of a PJSC's registration, late publication of amendments to the company's official document and late renewal of an audit firm's registration; and AED 2,000 per month, also capped at AED 10,000 a year, for an audit firm's late notice of a change of engagement auditor, of a professional lawsuit, or of changes to its data. Part of a month counts as a full month (Article 6).

Article 4 allows a written grievance to the Authority's Grievance Committee within 30 days of notification, to be decided within 30 days. Article 5 reserves amendments to the Cabinet, and Article 7 directs the Authority's Board to issue implementing decisions.

Who it applies to

Public joint stock companies and companies converting into them, acquirers of 51% or more of a listed PJSC, merging companies, audit firms registered or seeking registration to audit PJSCs and mutual funds, and anyone requesting certified copies or certificates from the Authority.

In practice — how Polaris handles it

We use this resolution when costing a conversion into a public joint stock company or a transaction involving a listed company. The AED 50,000 registration and AED 10,000 annual renewal for a PJSC, and the AED 30,000 fee on a 51% acquisition or merger, sit in the budget beside the Authority's technical fees and the market's own charges. The 30-day deadlines carry monthly fines, so we diarise them. We are not licensed by the CMA; we prepare the corporate documents, resolutions and amended articles that these approvals need, track renewal and publication deadlines for our PJSC clients, and coordinate with their auditors and legal counsel.
